ATTACHMENT 1 PREPA NETWORKS CORP.’S STATEMENT REGARDING CORPORATE ORGANIZATION AND LICENSES On February 28, 2008, the Puerto Rico Telephone Authority (“PRTA”), sole owner and stockholder of Telecomunicaciones Ultramarinas de Puerto Rico, Inc. d/b/a Ultracom (“Ultracom”), FRN 0001727304, entered into a stock purchase agreement with PREPA Networks Corp. (“PREPA.Net”), FRN 0016946634, pursuant to which PREPA.Net would acquire all the outstanding shares of common stock of Ultracom owned by PRTA. The transaction was consummated on September 15, 2008, following the FCC’s consent to transfer control and ownership of Ultracom to PREPA.Net, and the FCC’s consent to transfer to PREPA.Net all licenses granted to Ultracom. The Call Sign subject to this renewal petition was transferred to Prepa.Net per Application for Satellite Space and Earth Station Authorizations for Transfer of Control, File Number SES-T/C-20080311-00277.1 The Transferee, PREPA.Net, is a non-profit corporation created and existing under the Puerto Rico General Corporations Act, Puerto Rico Law No. 144 of August 10, 1995, as amended. PREPA.Net is wholly owned by PREPA Holdings, LLC a Delaware limited liability company (“PREPA Holdings”). The Puerto Rico Electric Power Authority, a public corporation of the Commonwealth of Puerto Rico, created by Puerto Rico Law No. 83 of May 2, 1941, as amended, is the sole owner of PREPA Holdings, and therefore is the indirect owner of PREPA.Net. See Ownership Disclosure Filing, File Number 0003358340.
