                     Dear Secretary Dortch:

                                    This letter is to provide the Commussion with further information
                     regarding the transfer of control over Faith Communications, Inc ("Faith") pursuant
                     to Section 63.50 of the Commission‘s Rules.

                                     Through its attorneys, Faith is amending its applicationby: (1)
                     withdrawing its request for nune pro tunc approval of the transfer of control; (2)
                     stating that Masato Nakanishi is a Japanese citizen; and (3) deleting all references
                     indicating that the subject transfer of control constitutes an indirect transfer of
                     control. Enclosed are 5 additional copies of this amendment.

                                    Please date stamp the enclosed extra copy of this letter and return it in
                     the self—addressed, postage—paid envelope provided. Should you have any questions
                     concerning this filing, please do not hesitate to contact us.
