                                ORDER, AUTHORIZATION AND CERTIFICATE

                 Adopted: June 7, 1989; Released: June 19, 1989
**4965 By the Chief, International Facilities Division:
 1. The above-captioned application, filed on February 14, 1989 by AT & T of Pu-
erto Rico, Inc. (AT & T-PR) and AT & T of the Virgin Islands, Inc. (AT & T-VI),
requests authority, pursuant to Section 214 of the Communications Act of 1934, as
amended, to acquire and operate additional facilities for supplementary service
between Puerto Rico and Antigua, Barbados, the British Virgin Islands, Guadeloupe,
St. Maarten and Trinidad, and direct service between Puerto Rico and St. Kitts and
Nevis.   The application was placed on public notice on February 22, 1989.    No
comments were received.    Upon consideration of the application, we find that au-
thorization of the requested facilities and services is required by the public
convenience and necessity.

 2. IT IS HEREBY CERTIFIED that the present and future public convenience and ne-
cessity require the provision of direct service between Puerto Rico and St. Kitts
and Nevis by AT & T-PR.

 3. Accordingly, IT IS ORDERED that application File No. I-T-C-89-060 IS GRANTED,
and

  a. AT & T-VI is authorized to make available on an indefeasible right of user
(IRU) basis a whole interest in 101 MAUOs in the St. Thomas terminal of the St.
Thomas-Tortola Digital Microwave System to its correspondents listed in the Ap-
pendix;

  b. AT & T-VI and AT & T-PR are authorized to activate 101 64 Kbit/s channels in
the Puerto Rico-St. Thomas Digital Microwave System;

  c. AT & T-PR is authorized to:

    1) lease a AT & T-VI's half-interest in 101 64 Kbit/s channels in the St.
Thomas terminal of the Puerto Rico-St. Thomas Digital Microwave System;

    2) acquire on an IRU basis and activate the half-interests in various segments
and spurs of the Digital Eastern Caribbean Microwave System (DECMs) as follows:

     *2 3) establish 8 direct channels to St. Kitts and Nevis;       and

    4) use the facilities in 1) and 2) above to provide AT & T-PR's regularly au-
thorized services between Puerto Rico and the points listed in the Appendix.

 4. No material changes inconsistent with this or any other relevant Commission
order shall be made before final execution of an operating agreement between AT &
T-PR and its correspondent in St. Kitts and Nevis, and a copy of the agreement
shall be filed with the Commission within 30 days of its execution.

 5. No substantial changes inconsistent with this or any other relevant Commission
order shall be made before final execution of IRU agreements between AT & T-VI and
AT & T-PR and their correspondents, and copies of the agreements shall be filed
with the Commission within 30 days of their execution.

 6. This order is issued under Section 0.291 of the Commission's Rules and is ef-
fective upon adoption.   Petitions for reconsideration under Section 1.106 or ap-
plications for review under Section 1.115 of the Commission's Rules may be filed
within 30 days of the date of public notice of this order (see Section 1.4(b)(2)).
