Clearwire Spectrum Holdings II, LLC, a wholly owned subsidiary of Clearwire Corporation ("Clearwire") is the defacto transfer lessee ofthose channels. The geographic service areas of these channels coverall or portions of Chicago, Illinois. Intel and Cisco request that CITF and Clearwire consent to Intel‘s and Cisco‘s temporary use of Channels D23 in conjunction with the demonstration ofIntel‘s and Cisco‘s WiMax equipment to take place at HIMSS 09 (Healthcare Information nad Management Systems Society) annual trade show in Chicago, Illinois. Intel and Cisco request use of Channels D23 (002557.00000—002562.50000 MHz, 002562,50000— 002568.00000 MHz) (the "Spectrum") from April 3 through April 8, 2009, Cisco and Intel agree that its use of the Spectrum will be limited to indoors at that trade show‘s venues. By your respective signatures below, CITF and Clearwire each hereby consent to Intel‘s and Cisco‘s use of the Spectrum on a temporary basis for the above—described equipment demonstration purposes, Intel and Cisco agree to operate on the Spectrum in accordance with the rules and regulations of the Federal Communications Commission, and to takeall necessary steps to cause no interference to any current operations and to protect and preserve the status of CITF‘s and Clearwite‘s license and lease. Intel and Cisco further agrees to indemnify CITF and Clearwire against any damages caused by Intel and Cisco‘s temporary operation ofthe Spectrum, including, withoutlimitation, the payment of any fines levied by the FCC or other regulatory authority for any improper use of the Spectrum, such as interference with other channels.
